K12 Prospects Affiliate Program Terms and Conditions

This Affiliate Program Agreement ("Agreement") is made between K12 Prospects Inc. located in Hillsborough County, Tampa, FL ("K12 Prospects", "we", "our", or "us") and the affiliate participant ("Affiliate", "you", or "your").

By enrolling and participating in the K12 Prospects Affiliate Program (the “Program”), you agree to comply with and be legally bound by the following terms and conditions:

1. Program Overview

The K12 Prospects Affiliate Program allows approved affiliates to earn a commission by referring new customers to our platform. Commission is only paid for eligible, completed purchases made by new customers using your unique referral link.

2. Eligibility

We reserve the right to accept or reject any application into the Program for any reason, at our sole discretion. Continued participation is subject to compliance with all terms outlined herein.

3. Prohibited Use and Platform Abuse

You agree not to:

  • Use your affiliate link to purchase K12 Prospects data or services for your own company, employer, or any business entity you are affiliated with.
  • Refer yourself or manipulate tracking to generate commissions.
  • Engage in spamming, misleading advertising, or deceptive promotional practices.
  • Misrepresent your relationship with K12 Prospects in any way.

Any abuse or violation will result in immediate removal from the Program and forfeiture of all unpaid commissions.

4. Commission and Payment Terms

  • Affiliates earn 10% commission on qualifying purchases made by referred customers through their affiliate link.
  • Commissions are paid only for eligible transactions that are not refunded, canceled, or disputed.
  • Commissions are held for 30 days after each qualifying purchase to allow for potential refunds or disputes.
  • Commissions are paid out using program-supported payout methods as displayed or communicated via the affiliate dashboard.
  • The minimum payout threshold is $100; commissions below this threshold will roll over to the next payout cycle.
  • You are solely responsible for ensuring your payout and tax information is accurate and up to date.

5. Indemnification

You agree to fully indemnify, defend, and hold harmless K12 Prospects, its members, managers, employees, agents, and affiliates from and against any and all liabilities, claims, damages, costs, or expenses (including reasonable attorney fees) arising out of or related to:

  • Your participation in the Program;
  • Your violation of this Agreement;
  • Any unlawful or negligent conduct on your part.

This indemnity obligation survives termination and applies regardless of negligence or alleged fault on the part of K12 Prospects.

6. Disclaimer of Warranties

THE PROGRAM IS PROVIDED “AS IS” AND “AS AVAILABLE.” K12 PROSPECTS MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

7. Limitation of Liability

UNDER NO CIRCUMSTANCES SHALL K12 PROSPECTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR SPECIAL DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, BUSINESS INTERRUPTION, OR LOSS OF DATA.

IN NO EVENT SHALL K12 PROSPECTS’ TOTAL LIABILITY UNDER THIS AGREEMENT EXCEED ONE DOLLAR ($1).

8. Termination

K12 Prospects reserves the right to terminate or suspend your affiliate account at any time, with or without cause, effective immediately. Upon termination, you must cease use of all affiliate links and promotional materials.

9. Governing Law and Jurisdiction

This Agreement shall be governed by and interpreted under the laws of the State of Florida.
Any disputes shall be exclusively resolved in the state or federal courts located in Hillsborough County, Tampa, Florida, and you hereby consent to the personal jurisdiction of those courts.

10. Modifications

We may modify this Agreement or the Program at any time. Continued participation after any such changes constitutes your acceptance of the modified terms.
